摘要：

"管理层讨论与分析"(MD&A)信息披露因能增强财务报告的有用性而愈来愈受到重视,但其信息鉴证却长期被忽视。本文首先分析了我国上市公司MD&A信息鉴证所面临的理论薄弱、制度缺失与实践缺位的三重困境;然后以德、美、英为代表对国外MD&A鉴证规范进行比较,总结其在内容、方式和特点方面的主要经验;最后就如何厘清和界定MD&A鉴证的基本概念,如何进行利益相关方的MD&A鉴证需求调查,如何制定MD&A鉴证指南或准则,以及如何循序渐进地发展MD&A鉴证实务提出了具体建议。
