<正>伯利和米恩斯(Berle and Means)开创性地指出,现代企业的典型特征是股权高度分散所带来的所有权与控制权的分置,作为企业所有者,股东很少有可能直接参与到公司繁杂的每一项管理之中,取而代之的是职业管理者。伯利和米恩斯因此指出,企业控制权往往旁落于管理者之手,且管理者会利用企业控制权来最大化自身的利益,这种利益往往与股东的利益不相一致,这就是现代企业中广为存在着的股东与管理者之间基于委托-代理关
