影响中国上市公司高管层变更的因素分析与实证检验

摘要：

本文考察了1999～2003年度上市公司董事长与总经理职位变更的情况,分析说明公司绩效、股权结构等诸多因素对高管层变更的影响。结果显示,国有上市公司高管层职位的升迁或降职与公司业绩正向相关,不同属性的公司其评价总经理的业绩或能力指标也有所差异,而且决策者对高层人员业绩的要求也会因为公司历史业绩的不同而有所不同。
