摘要：

银行公司治理的特殊性决定了债权约束和产品市场约束不能发挥外部治理机制的基础性作用,不利于形成对银行是否履行社会责任的监督机制,因而须引入利益相关者治理机制,以有效督促银行履行社会责任。我国商业银行应改革目前的股东单边治理机制,优化董事会结构与职能,建立对话机制,提高利益相关者参与程度,逐步推进和完善利益相关者治理,善尽社会责任。
