民营上市公司所有权安排与掏空行为——基于阳光集团的案例研究

摘要：

本文以上市公司最终控制人为利益侵占主体,投票权和现金流量权分离所产生的代理问题为切入点,基于利益侵占机会成本的分析模型,对民营上市公司江苏阳光进行案例分析。分析结果表明,对于江苏阳光的最终控制人而言,将资源留在上市公司再投资的收益要远小于进行利益侵占转移资源再投资的收益,定期报告和临时公告的分析证实了最终控制人掏空行为的存在。本文认为,加强对投资者保护的力度和强化上市公司的信息披露是制约最终控制人利益侵占行为的两个重要方面。
