公司治理结构的产生与模式——从博弈角度进行的分析

摘要：

从博弈论的角度考察了公司治理结构的产生与模式,讨论了其对我国国有企业产权改革的启示与意义,并得出主要结论:公司治理结构是公司利益相关者为保证合作利益实现的博弈规则;公司利益相关者在企业中所拥有的物质资本和人力资本水平的差异决定了企业所有权配置的不同,形成了公司治理结构的不同模式;国有企业的产权改革过程是建立真正意义上的公司治理结构的过程,公司利益相关者应该根据其在企业中所拥有的物质资本和人力资本水平状况,参与到国有股权的优化过程中。
