摘要：

本文以尚德电力案例为对象,探讨理论上"完善"的董事会制度是否必然带来理想的治理效果。我们的分析表明,尚德的失败主要与不合理的关联交易、重大错误决策、管理层失察等有关;而尚德又拥有勘称范本的董事会制度:董事会独立性强、董事专业背景好、委员会设置合理且规范。我们的讨论倾向于认为,尚德的董事会没有发挥监督和决策作用。在美上市"中概股"公司董事会制度的进一步比较表明,即便是依据严格监管条例建立起来的董事会制度,亦未能阻止部分公司走向经营失败。在此基础上,本文提出"董事会之谜",即:董事会是否能够有效发挥监督和决策作用、甚至董事会究竟发挥什么样的作用,就目前的研究文献来看,仍然是一个待解之谜。
